Terms of Service

1. Introduction and Acceptance

Welcome to Clockbitz. These Terms of Service ("Terms") govern your access to and use of the Clockbitz time-tracking application and related services (collectively, the "Service"). By accessing or using Clockbitz, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

1.1 Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use Clockbitz. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Intellectual Property Rights

2.1 Clockbitz Property

All content, features, and functionality of Clockbitz, excluding user-generated content, are the exclusive property of Clockbitz and its licensors. This includes, but is not limited to:

  • Software, code, and algorithms
  • User interface design and layout
  • Text, graphics, logos, and images
  • Trademarks and brand elements

2.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

2.3 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or attempt to extract the source code
  • Remove or modify any proprietary notices
  • Use the Service to create a competing product or service

3. User Accounts and Obligations

3.1 Account Registration

To use Clockbitz, you must create an account by providing accurate and complete information. You may sign up using:

  • GitHub OAuth
  • Google OAuth
  • Email and magic link authentication

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Acceptable Use

By using Clockbitz, you agree NOT to:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission
  • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or our related systems or networks
  • Use the Service to transmit malware, viruses, or any harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, data mine, or use automated tools to access the Service without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Violate the privacy or rights of other users
  • Use the Service for any commercial purpose without our prior written consent (personal and internal business use is permitted)

4. User-Generated Content and Data

4.1 Your Data

All personal data, time entries, activities, goals, notes, and other content entered into Clockbitz by you ("Your Data") remain your property. You retain all ownership rights to Your Data.

4.2 Privacy

Your Data is strictly private and accessible only to you. Clockbitz does not claim ownership of Your Data and does not use, share, sell, or distribute Your Data without your explicit consent, except as necessary to provide the Service or as required by law. See our Privacy Policy for details.

4.3 License to Clockbitz

By using the Service, you grant Clockbitz a limited, worldwide, non-exclusive license to host, store, and process Your Data solely for the purpose of providing and improving the Service.

4.4 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Data. We recommend periodically exporting your data.

4.5 Data Deletion

You may delete Your Data or your account at any time. Upon account deletion, Your Data will be permanently deleted within 30 days, except where retention is required by law.

5. Subscriptions and Payment

5.1 Plans

Clockbitz offers:

  • Free Trial: Limited to 200 time entries, 100 activities, and 3 goals. No credit card required.
  • Pro Plan: Unlimited entries, activities, and goals. Available as:
    • Monthly subscription: €7.99/month
    • Annual subscription: €5.99/month (billed annually at €71.88)

5.2 Payment Processing

All payments are processed by Lemon Squeezy, a third-party payment processor. Clockbitz does not store or have access to your credit card information. By subscribing, you agree to Lemon Squeezy's terms of service and privacy policy.

5.3 Billing

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You will be charged at the beginning of each billing period
  • Price changes will be communicated at least 30 days in advance
  • By subscribing, you authorize recurring charges to your payment method

5.4 Taxes

Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, GST, or other taxes that may apply.

5.5 Payment Issues

If payment fails, we may suspend or terminate your subscription. For payment-related issues or billing disputes, contact Lemon Squeezy directly at their support channels.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@clockbitz.com. Upon cancellation:

  • You will retain access to Pro features until the end of your current billing period
  • No refund will be provided for the unused portion of the current billing period
  • Your account will revert to the Free Trial limits after the subscription ends
  • Your data will be retained but may be subject to Free Trial limitations

6.2 Refund Policy

We offer a 7-day money-back guarantee:

  • Refunds are available within 7 days of your initial purchase
  • The refund applies only to your first subscription payment, not renewals
  • To request a refund, contact support@clockbitz.com
  • Refunds are processed through Lemon Squeezy and may take 5-10 business days
  • We reserve the right to deny refunds if the Service has been extensively used or abused

6.3 Free Trial to Paid Conversion

When your Free Trial limits are reached, you must upgrade to continue using Clockbitz without restrictions. If you do not upgrade, you cannot add new data until you either upgrade or delete existing data to fall within Free Trial limits.

7. Termination

7.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in the app
  • Contacting support@clockbitz.com

Upon termination, your subscription will be cancelled and your data will be deleted as described in Section 4.5.

7.2 Termination by Us

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account has been inactive for more than 2 years
  • We are required to do so by law
  • Continuing to provide the Service would cause us legal liability or disruption to other users

7.3 Effect of Termination

Upon termination:

  • Your license to use the Service terminates immediately
  • You must cease all use of the Service
  • Your Data may be deleted after a grace period (typically 30 days)
  • Provisions of these Terms that should survive termination will remain in effect

8. Disclaimers and Warranties

8.1 "AS IS" Service

Clockbitz is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

8.2 No Warranties

We do NOT warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors or defects will be corrected

8.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services (GitHub, Google, Lemon Squeezy, etc.) that integrate with Clockbitz.

8.4 Data Loss

While we implement backup systems, we cannot guarantee that data loss will never occur. You are responsible for maintaining your own backup copies of important data.

9. Limitation of Liability

9.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOCKBITZ, ITS DIRECTORS, EMPLOYEES, PARTNERS, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from:
    • Your use or inability to use the Service
    • Unauthorized access to or alteration of your data
    • Statements or conduct of any third party on the Service
    • Any other matter relating to the Service

9.2 Maximum Liability

In no event shall our total liability to you for all claims exceed the amount you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

9.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clockbitz and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Your Data or content you submit to the Service

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Belgium.

11.3 Informal Resolution

Before filing a legal claim, you agree to first contact us at support@clockbitz.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

12. Modifications to Terms

12.1 Right to Modify

Clockbitz reserves the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top
  • For material changes, we will notify you via email or through a prominent notice in the app
  • Your continued use of the Service after changes become effective constitutes acceptance of the new Terms

12.2 Rejecting Changes

If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

13. General Provisions

13.1 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clockbitz regarding the Service and supersede any prior agreements.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, strikes, natural disasters, or internet service provider failures.

13.6 Survival

Sections that by their nature should survive termination will survive, including Sections 2 (Intellectual Property), 4 (User Data), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Dispute Resolution).
